Droxy Affiliate Program: Terms and Conditions
The following Terms and Conditions ("Terms") preside over your involvement in the Rewardful Affiliate Program ("Program") presented by Droxy Inc. ("Droxy"). By enlisting in the Affiliate Program, you accede to these Terms. We strongly suggest a comprehensive review of these Terms prior to your enrollment in our Program.
Program Enrolment:
1.1 Eligibility Criteria: Participants in the Program must be at least 18 years of age and possess the legal capability to enter into a binding agreement. We welcome participation from companies, organizations, and individuals alike. It is important to note that accounts established through automated means (such as bots) are strictly prohibited.
1.2 Application Process: The Program requires the completion of an affiliate registration form available on our website for enrolment. We retain the right to either accept or reject any affiliate application based on our sole discretion.
2.1 Promotion Expectations: As an affiliate, it's agreed that you'll proactively market Droxy using the unique referral link or code provided by our software.
2.2 Legal and Ethical Compliance: Affiliates must comply with all applicable laws, regulations, and ethical guidelines while promoting Droxy, including but not limited to anti-spam laws, privacy laws, and intellectual property rights. As an affiliate, your website, service or correspondence should not contain any content that Droxy, at its sole discretion, deems to:
2.2.1 Promote explicit nudity, adult-oriented material, explicit sexual language, or suggestive or sexually explicit images or activities that are considered inappropriate or unlawful in your specific location;
2.2.2 Contain violent, obscene, defamatory, libelous, slanderous, or unlawful content;
2.2.3 Promote hatred against any individual or group, regardless of their race, gender, beliefs, country of origin, religion, marital status, sexual orientation, gender identity, or language;
2.2.4 Violate or facilitate the violation of copyright, trademark, or other intellectual property rights, or contravene the law;
2.2.5 Use "Droxy" or variations or misspellings thereof in its domain name as keywords in PPC campaigns;
2.2.6 Advocate for political or religious ideologies or affiliations with hate, criminal, or terrorist acts;
2.2.7 Promote gambling activities, including but not limited to online casinos, sports betting platforms, bingo halls, or poker rooms;
2.2.8 Contain software downloads that potentially divert commission from other partners in our program;
2.2.9 Resemble the Droxy website in a manner which may mislead customers into believing you are the Droxy website or a legal representative of Droxy in any way. This includes creating separate websites to solely promote Droxy software, which requires prior written approval from our Affiliate Program Manager;
2.2.10 Offer coupons, rebates, or other forms of kickbacks from your commission as an incentive, unless prior permission is received from the Affiliate Program Manager;
2.2.11 Make false claims or use misleading strategies to gain traffic through partner links;
2.2.12 Promote any special deal or offer in a way that contradicts the arrangement set forth by the Affiliate Program Manager;
2.2.13 Create activities that place affiliate cookies without obtaining the end user's consent, unless the user has clearly and explicitly shown interest in accessing specific savings by clicking on a prominently labeled button, link, or image related to that specific deal or discount. In such instances, the links should lead users to the Droxy website.
2.3 Truthful Representation: You are required to present Droxy and its offerings accurately in your promotion, avoiding any misleading, fraudulent, or deceptive practices that may tarnish Droxy’'s reputation.
2.4 Prohibited Activities: Affiliates are prohibited from engaging in activities that could potentially harm Droxy, its customers, or affiliates. This includes using illegal or unethical methods to drive traffic or generate referrals, such as spamming, cookie stuffing, or incentivized referrals. Other restrictions include:
2.4.1 We do not partner with coupon, bargain, or cashback websites. Any discounts granted to you should not be publicly displayed. If an affiliate website displays a discount or coupon after receiving written consent, clear information regarding the deal, coupon, or savings must be provided before setting the affiliate cookie;
2.4.2 Your site should not feature a "Click to see Coupon/Deal" or any similar phrase that redirects to the Droxy website when there are no coupons or deals available. Affiliates using such a tactic will be immediately removed from the program;
2.4.3 You may not bid on or use keywords or phrases implying coupons are
available, such as Droxy Coupon(s) or Droxy Discount(s). Any misspellings of our brand name, either alone or combined with words like coupon, deal, savings, or similar variations or synonyms, are strictly forbidden;
2.4.4 Misleading content, messaging, referral links, buttons or images to advertise unauthorized deals are strictly prohibited. Your marketing activities should be clearly commercial;
2.4.5 You are responsible for keeping your website's information updated. For instance, any changes to Droxy's pricing policy should be reflected on your site. We may monitor your site to ensure it remains current and provide you with suggestions for improvement;
2.4.6 Affiliates are allowed to use only one account, within which multiple domains can be used;
2.4.7 Self-referral, or referring to immediate family members or your affiliated company, is strictly forbidden. Personal purchases made by oneself, immediate family members, or the affiliated company will not be eligible for commissions;
2.4.8 If your previous affiliate account has been terminated, creating a new account is strictly prohibited.
3.1 Commission Rates: Upon registration for the program, you can access the details of the applicable commission rates on your dashboard. These rates are subject to alteration at Droxy's discretion, and you will be informed of any changes in advance.
3.2 Eligible Referrals: A referral qualifies when a customer signs up for a paid subscription to Droxy utilizing your unique referral link or code. Only these qualified referrals qualify for commission payouts.
3.3 Commission Payments: Droxy maintains the right to alter the payment schedule as needed. Payments will be issued in USD.
3.4 Payment Threshold: A minimum commission amount of $150 must be accrued before a payout can be processed. Commissions will continue to accumulate until this threshold is met.
3.5 Payment Method: Commissions are remitted via PayPal. It is your responsibility to supply and maintain a valid PayPal email address.
3.6 If a partner's account remains dormant for 6 months and holds a balance of $150 or less, it will be removed from our system. In such instances, any accrued commissions below the minimum payout threshold of $150 will be forfeited.
4.1 Duration: These Terms will stay in effect until terminated by either party. If you wish to cease your involvement in the Program, you can do so at any time by sending a written notice to Droxy.
4.2 Cessation for Just Cause: If you contravene these Terms or partake in any prohibited activities, we reserve the right to immediately terminate your participation in the Program.
4.3 Consequences of Cessation: After termination, you won't be eligible to earn commissions anymore. Any unpaid commissions earned prior to the termination date that fall below the minimum payout threshold of $50 will be invalidated.
5.1 Limited License: A non-exclusive, non-transferable, revocable license is granted to you by Droxy, permitting the use of its logos, trademarks, and promotional materials only for promoting Droxy as an affiliate.
5.2 Intellectual Property Rights: You understand and accept that all intellectual property rights in Droxy, its trademarks, and associated materials are owned by Droxy. Without Droxy's prior written approval, you shall not modify, reproduce, or distribute any of these materials.
6.1 Absence of Warranty: Droxy makes no warranties or guarantees regarding the Program, its availability, or the tracking and reporting systems' accuracy and completeness. The Program is provided on an "as is" basis.
6.2 Liability Limitation: Under no circumstances shall Droxy be liable for any indirect, consequential, or special damages that arise out of or are related to the Program, including but not limited to lost profits or loss of business opportunities.
7.1 Amendments: Droxy retains the right to revise these Terms at its discretion. Any such changes will be notified on your affiliate dashboard with the effective date. Your ongoing participation in the Program following these changes implies your consent to the revised Terms.
7.2 Relationship Between Parties: Droxy and you are deemed independent entities operating as independent contractors. No partnership, joint venture, agency, or employment relationship is established under these Terms.
7.3 Law and Jurisdiction: These terms will be governed and construed in accordance with the laws of the Province of Quebec. All disputes arising from these terms will be resolved exclusively in the courts of this jurisdiction.
By participating in the Droxy Affiliate Program, you confirm that you have read, understood, and accepted these Affiliate Program Terms and Conditions.
